An institution or group of people voluntarily joins together for a purpose that is not governed by the government, it is referred to as a Non-Governmental Organization (NGO).<\/span>\u00a0In the Companies Act, 2013 an NGO is legally registered as a Section 8 organization and is overseen by the Ministry of Corporate Affairs (MCA).<\/span><\/p>\n

The proposed name for the Section 8 company must be a proper name. Section 8 company must include the word “FORUM” i.e.<\/span>\u00a0Foundation, Forum, Association, Federation, Chambers, etc.<\/span>\u00a0The objectives of an organization could include the development of commerce, art and science, education, research, and other areas covered through the Act.<\/span>\u00a0This article focuses specifically on the Section 8 company registration process.<\/span><\/p>\n

What are the steps to follow when you go through what steps are involved in the SECTION 8 Company Registration online procedure?<\/span><\/p>\n

The\u00a0Section 8 company registration<\/strong>\u00a0online procedure has been made simpler under the Companies Act, 2013.<\/span><\/p>\n

Section 8 registration for companies forms<\/strong>\u00a0comprise:<\/span>
\nSPICe+ Form,<\/span>
\nFormula No.<\/span>\u00a0INC – 13,<\/span>
\nFormula not available.<\/span>\u00a0INC-14,<\/span>
\nFormula is not required.<\/span>\u00a0INC-15,<\/span>
\nFormulary not available.<\/span>\u00a0INC-9,<\/span>
\nForm number.<\/span>\u00a0INC 12. (not required to file anymore).<\/span><\/p>\n

The registration process includes:<\/span><\/strong>
\n1.<\/span>\u00a0Obtain Digital Signature Certificate (DSC)<\/span>
\nFile both Part A and B of the online form Spice+ with the Registrar of Companies (RoC) for obtaining the license for Section 8 company along with all the necessary documents\/attachments.<\/span>\u00a0(Form INC-14, Inc-15 INC-9 MOA, AOA, and other documents that are required)<\/span><\/p>\n

2.<\/span>\u00a0The need to file Form no.<\/span>\u00a0INC-12, to obtain authorization for a\u00a0Section 8\u00a0company was replaced with companies (\u00a0Incorporation) Amendment Rules, 2020, starting on February 15th 2020.<\/span>\u00a0The license to use Section 8 shall be issued by way of a form called SPICe+.<\/span><\/p>\n

3.<\/span>\u00a0It is the\u00a0Section 8 fees for registration<\/strong>\u00a0(statutory charges to register):<\/span>
\n– Statutory Fees are calculated by calculating the authorized share capital of the Company and<\/span>
\nThe rates for stamp duty vary for every state.<\/span><\/p>\n

In addition to the fees statutory The registration process will also be accompanied by fees to obtain DSC, DIN, Stamps, Notary, and Professional Fees.<\/span><\/p>\n

Declaration of Authorised Signatory (in relation to GSTN)<\/span><\/p>\n

The Section 8 Company as incorporated under the Companies Act does not hold the minimum requirement<\/span>\u00a0Share<\/span>\u00a0capital.<\/span>\u00a0A trust-based NGO is administered by the Trustees in accordance with the Trust Deed.<\/span>\u00a0In the same way, Section 8 Company is controlled through The Board of Directors as per the<\/span>\u00a0MoA<\/span>\u00a0and AoA of the company.<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"
